What we are looking for:

We are looking to grow our legal department with a highly organized, detail-oriented corporate paralegal. Our ideal candidate will have experience in corporate governance including activities related to corporate mergers, acquisitions, formations, and dissolutions. This individual will oversee the contract workflow process and our contract lifecycle management system to track contract status, deadlines, renewals, and other critical dates. This role plays an important role in ensuring compliance with corporate policies, managing contractual agreements, and supporting the overall legal needs of the organization.

What you’ll do:

  • Provide administrative support for documents and activities related to corporate mergers, acquisitions, formations and dissolutions.

  • Maintain and update corporate records, including minute books, organizational documents, resolutions, and consents.

  • Ensure compliance with statutory and regulatory requirements, including filing necessary documents with relevant state and federal agencies.

  • Support the company in implementing and maintaining corporate policies and procedures.

  • Review and draft a variety of contracts including NDAs, service agreements, vendor contracts, and other business-related agreements in compliance with company policies and guidelines.

  • Coordinate with internal departments to facilitate the contract approval process and ensure timely execution of agreements.

  • Maintain the contract lifecycle management system; tracking contract status, deadlines, renewals, and other critical dates.

  • Assist with onboarding new medical professionals, including medical licensing and preparation of medical malpractice insurance applications.

  • Prepare general property and professional liability insurance applications.

  • Provide administrative and legal support to the legal department.

  • Provide support related to litigation, mediation, arbitration, responses to complaints, professional liability claims, government investigations, and general health care legal matters.

  • Other duties as assigned.

It’ll help to have/be:

  • A strong understanding of corporate law and governance principles

  • Proficient in reviewing and drafting contracts

  • Proficient in using virtual data rooms to upload and organize documents

  • Strong interpersonal skills and effective oral and written communication skills

  • Meticulous, detail-oriented, organized, and able to handle multiple tasks, following through to completion

  • Strong administrative and project management skills

  • Excellent analytical and problem-solving skills with superior attention to detail and accuracy

  • Able to maintain a high level of confidentiality

Qualifications/Experience:

  • Bachelor’s degree preferred; Paralegal certification a plus

  • At least five (5) years of experience as a corporate paralegal, with a focus on corporate governance and contract management in an in-house law department or law firm

  • Previous healthcare experience a plus

  • Moderate level of technical skills, including proficiency with Microsoft Office and Google Suites

Work environment and physical requirements:

Administrative office may have minimum visits to medical offices with possible exposure to procedure/exam room and laboratory environment may include exposure to communicable diseases, bloodborne pathogens, biohazards or toxic substances. Daily activities may include standing, walking, sitting, bending and lifting items up to 30 lbs.
